Terms of Service

1. Acceptance of Terms

By accessing or using the BoringQMS platform and website operated by ShiftArray Technologies ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Service

BoringQMS is a multi-tenant SaaS queue management platform that provides digital queue infrastructure, virtual waiting rooms, analytics, and related tools for service-driven businesses.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized access.

4. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the platform
• Interfere with or disrupt the service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the service
• Use the service to transmit malware or harmful code
• Resell or redistribute access without written authorization

5. Subscription and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as specified in your service agreement. We reserve the right to change pricing with 30 days' notice.

6. Data Ownership

You retain all rights to the data you submit to BoringQMS. We process your data solely to provide the service and as described in our Privacy Policy. Upon termination, you may export your data within 30 days.

7. Service Level

We target 99.9% uptime for our platform. Scheduled maintenance windows will be communicated in advance. Specific SLA terms may be included in your enterprise service agreement.

8. Intellectual Property

The BoringQMS platform, including its code, design, and documentation, is the intellectual property of ShiftArray Technologies. These Terms do not grant you any rights to our trademarks, logos, or branding.

9. Limitation of Liability

To the maximum extent permitted by law, BoringQMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Termination

Either party may terminate the service with 30 days' written notice. We may suspend or terminate your access immediately if you violate these terms. Upon termination, your right to use the service ceases, and you may request data export within 30 days.

11. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which ShiftArray Technologies is incorporated, without regard to conflict of law principles.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the service after changes constitutes acceptance of the revised Terms. Material changes will be communicated via email or in-app notification.
